These Terms of Service ("Terms") govern how SocialHippos ("we," "us," "our," or "SocialHippos") provides services to you ("you," "your," or "Customer")
By accessing or using our services, you agree to these Terms. Please read them carefully.
1. Background
You have requested, and we have agreed to provide, certain digital marketing and related services ("Services") under these Terms.
2. Definitions
In these Terms, unless the context otherwise requires:
- Additional Fees: Any extra fees for services beyond the original scope.
- Additional Services: Services outside the scope of what’s agreed in the initial proposal ("Quote").
- Confidential Information: All business, technical, or financial information shared between us that is not publicly known.
- Customer Material: Content and material you provide us to be used in the Services.
- Data: Any data or content you input or provide through our services.
- Fees: The service costs are detailed in the Quote.
- Force Majeure: Events outside our reasonable control (like natural disasters, pandemics, etc.).
- GST: Any applicable goods and services tax.
- Intellectual Property (IP): All rights to creative works, trademarks, designs, etc.
- Quote: The document specifying the services to be provided and the related fees.
- Services: What SocialHippos is providing to you under these Terms.
- Underlying Systems: Software, platforms, and systems used to deliver our services.
- Working Day: A standard business day, excluding weekends and public holidays.
3. Interpretation
- Words in the singular include the plural and vice versa.
- Headings are for convenience only.
- References to laws include updates or replacements of those laws.
- Written communication includes emails unless otherwise agreed.
- References to a party include that party’s successors and permitted assigns.
4. Notices
- Notices can be delivered by hand or email.
- Email notices are deemed received within one hour unless a failure notice is returned.
- Notices after business hours are treated as received the next Working Day.
5. Services We Provide
- We will deliver the Services in line with the Quote and these Terms once the Service Fee is paid.
- Requests for Additional Services will require a new written agreement, including any applicable Additional Fees.
6. Service Delivery
- We'll do our best to meet the timeframes agreed in the Quote.
- If delays occur, we’ll notify you and discuss adjustments.
7. Acceptance Testing (if applicable)
- If testing is part of your project, you'll have the right to supervise (at your cost).
- Acceptance is confirmed unless you raise written concerns within 2 Working Days after testing.
- If issues are found, we can fix them, work under conditions, or agree to terminate
8. Your Responsibilities
- Use our services legally and internally only.
- Don’t resell or misuse the services or attempt unauthorized access.
- Provide all required Customer Materials promptly.
- Comply with all third-party hosting or platform rules.
- Indemnify SocialHippos if your materials cause IP or legal disputes.
9. Fees and Payment
Fees are outlined in your Quote and must be paid as invoiced.
10. Expenses
If travel is needed for your project, you will cover all pre-approved expenses, including flights, accommodations, and related costs
11. Data
- You must arrange necessary consents for us to access your Data.
- We act as your agent when processing personal information, following applicable privacy laws.
- You indemnify us for any third-party claims related to your Data.
12. Intellectual Property
- All IP in our services, processes, and systems remains owned by SocialHippos
- Your Data remains yours, but you give us a license to use it to deliver our services to you
13. Confidentiality
Both parties must keep all confidential information private and only use it as necessary to perform this agreement
